These Terms and Conditions ("Terms") govern your access to and use of 10mm-marketing.com (the "Site"), the marketing services provided by 10mm Automotive Marketing ("10mm," "we," "us," or "our"), and IGNITE CRM, the customer relationship management and marketing platform we make available to our automotive dealership clients. By accessing the Site, engaging our services, or using IGNITE CRM, you agree to be bound by these Terms. If you do not agree, do not use the Site, our services, or IGNITE CRM.

1. ACCEPTANCE OF TERMS

By using the Site, engaging 10mm for marketing services, or accessing IGNITE CRM, you represent that you are at least 18 years old and have the authority to bind yourself or the dealership or business you represent to these Terms. These Terms, together with any applicable order form, statement of work, or subscription agreement, form the entire agreement between you and 10mm regarding your use of our services.

2. DESCRIPTION OF SERVICES

10mm is an automotive marketing agency providing services to dealerships and other automotive businesses, including advertising, website design, digital marketing, and reputation management. As part of our services, we also offer IGNITE CRM, a white-labeled marketing and customer relationship management platform built on the Go High Level software platform, which we license and resell to our clients for lead management, customer communication, and marketing automation.

3. ELIGIBILITY AND ACCOUNTS

Some services, including IGNITE CRM, require an account. You agree to provide accurate, current information when creating an account, to keep your login credentials confidential, and to notify us promptly of any unauthorized use of your account. You are responsible for all activity that occurs under your account, including activity by your employees or agents.

4. IGNITE CRM PLATFORM TERMS

License. Subject to these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable right to access and use IGNITE CRM for your internal business purposes during your subscription term.

Third-party platform. IGNITE CRM is a white-label product built on Go High Level, a third-party software platform that 10mm does not own or operate. Your access to and use of IGNITE CRM is also subject to the underlying platform's operational availability, updates, and technical limitations. 10mm is not responsible for outages, changes, or issues that originate from the underlying third-party platform, but we will use commercially reasonable efforts to notify you of any known service disruptions and to assist in resolving them.

Your data. As between you and 10mm, you (and, where applicable, your dealership) own the customer and business data you upload to or collect through IGNITE CRM ("Client Data"). You grant 10mm and our technology providers a license to host, process, and use Client Data solely to provide, maintain, support, and improve IGNITE CRM and related services. You are responsible for the accuracy of Client Data and for ensuring you have the necessary rights and consents to upload and use it, including customer contact information used for calling, texting, or emailing.

Compliance obligations. You are solely responsible for your own compliance, and the compliance of anyone using your account, with all applicable laws when using IGNITE CRM to contact customers, including the Telephone Consumer Protection Act (TCPA), the CAN-SPAM Act, applicable state privacy and telemarketing laws, and wireless carrier and messaging registration requirements (including A2P 10DLC registration, where applicable). This includes obtaining and documenting proper consent before sending marketing calls, texts, or emails, and honoring opt-out requests. 10mm may suspend messaging or CRM functionality for accounts that appear to violate these obligations or that generate excessive spam complaints or carrier filtering issues.

Service changes. We may update, modify, or discontinue features of IGNITE CRM from time to time, including changes required by our underlying technology provider. We will provide reasonable notice of material changes that significantly affect your use of the platform where practicable.

5. FEES AND PAYMENT

Fees for our marketing services and for IGNITE CRM subscriptions will be set out in your order form, proposal, or subscription agreement. Unless otherwise stated, fees are billed in advance on a recurring basis, are non-refundable, and are subject to change with advance notice before your next billing cycle. Late or failed payments may result in suspension of services, including IGNITE CRM access, until payment is received.

6. TERM, SUSPENSION, AND TERMINATION

These Terms remain in effect while you use the Site or our services. Either party may terminate a services agreement or IGNITE CRM subscription as described in the applicable order form or agreement, or, absent other terms, with 30 days' written notice. We may suspend or terminate your access immediately if you violate these Terms, fail to pay fees when due, or use the Site or IGNITE CRM in a way that creates legal risk or harms 10mm, our other clients, or our technology providers. Upon termination, your right to access IGNITE CRM ends, though we will provide a reasonable opportunity to export your Client Data unless prohibited by law or unresolved payment issues.

7. INTELLECTUAL PROPERTY

The Site, our marketing materials, and the IGNITE CRM software, including its design, workflows, templates, and underlying technology, are owned by 10mm or our licensors (including Go High Level) and are protected by intellectual property laws. Except for the limited rights granted in these Terms, no rights are granted to you in our (or our licensors') trademarks, content, or software. You may not copy, reverse-engineer, resell, or white-label IGNITE CRM or any 10mm marketing materials without our prior written consent.

8. USER CONTENT

If you submit content to us through the Site or IGNITE CRM, such as forms, reviews, or feedback, you grant 10mm a non-exclusive, royalty-free, worldwide license to use, reproduce, and display that content in connection with operating and improving our services. You represent that you have the right to submit such content and that it does not infringe any third party's rights.

9. PROHIBITED USES

You agree not to: use the Site, our services, or IGNITE CRM for any unlawful purpose; send unsolicited or non-compliant marketing communications; upload malicious code or attempt to interfere with the security or operation of the Site or IGNITE CRM; misrepresent your identity or affiliation; scrape, resell, or white-label our services without authorization; or use the platform to harass, defraud, or deceive any person.

10. THIRD-PARTY LINKS AND SERVICES

The Site and IGNITE CRM may link to, integrate with, or rely on third-party websites, tools, and platforms (including Go High Level and other integrations) that we do not control. We are not responsible for the content, functionality, or practices of these third parties, and your use of them may be subject to their own terms and privacy policies.

11. DISCLAIMER OF WARRANTIES

THE SITE, OUR SERVICES, AND IGNITE CRM ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SITE OR IGNITE CRM WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, INCLUDING WHERE ISSUES ARISE FROM THE UNDERLYING THIRD-PARTY PLATFORM.

12. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY LAW, 10MM AND OUR OFFICERS, EMPLOYEES, AND TECHNOLOGY PROVIDERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATED TO YOUR USE OF THE SITE, OUR SERVICES, OR IGNITE CRM. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF THESE TERMS WILL NOT EXCEED THE AMOUNT YOU PAID TO 10MM FOR THE SERVICE GIVING RISE TO THE CLAIM IN THE THREE MONTHS BEFORE THE CLAIM AROSE.

13. INDEMNIFICATION

You agree to indemnify and hold harmless 10mm, our officers, employees, and technology providers from any claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising out of your use of the Site, our services, or IGNITE CRM, your Client Data, or your violation of these Terms or applicable law, including any claims related to unauthorized marketing communications sent through IGNITE CRM.

14. GOVERNING LAW AND DISPUTE RESOLUTION

These Terms are governed by the laws of the State of Colorado, without regard to conflict-of-law principles. Any dispute arising out of or relating to these Terms or our services will be subject to the exclusive jurisdiction of the state and federal courts located in Larimer County, Colorado, and you consent to personal jurisdiction there.

15. CHANGES TO THESE TERMS

We may update these Terms from time to time. When we do, we will revise the "Effective Date" above. Material changes affecting IGNITE CRM subscribers will be communicated with reasonable advance notice. Your continued use of the Site, our services, or IGNITE CRM after changes are posted means you accept the updated Terms.

16. MISCELLANEOUS

If any provision of these Terms is found unenforceable, the remaining provisions will remain in full effect. Our failure to enforce any provision is not a waiver of our right to do so later. You may not assign these Terms without our written consent; we may assign these Terms in connection with a merger, acquisition, or sale of assets. These Terms, along with any applicable order form or subscription agreement, constitute the entire agreement between you and 10mm regarding their subject matter.
